These Terms of Service (“Terms”) govern your use of the Techer Online Freelancer and Consultant Marketplace (the “Platform”), operated by Techer Technologies, Inc. (“Techer,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

**1. Acceptance of Terms**

By accessing or using the Platform, you agree to comply with and be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you are using the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

**2. User Accounts**

To access certain features of the Platform, you may be required to create a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Techer of any unauthorized use of your account or any other breach of security.

**3. Services**

The Platform provides a marketplace for freelancers and consultants (“Freelancers”) to offer their services and for clients (“Clients”) to hire Freelancers. Techer does not endorse, guarantee, or verify the quality, accuracy, legality, or suitability of any services provided by Freelancers. Clients and Freelancers are solely responsible for their interactions, communications, and engagements.

**4. User Content**

Users of the Platform may submit content, including but not limited to job postings, profiles, reviews, and messages (“User Content”). By submitting User Content, you grant Techer a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Platform.

**5. Payment and Fees**

Clients agree to pay the fees for services as agreed upon with the Freelancers. Techer may collect and process payments on behalf of Freelancers. Techer may charge service fees, transaction fees, or other applicable fees. By using the Platform, you agree to the payment terms and fees outlined in the relevant sections.

**6. Prohibited Activities**

You agree not to engage in any prohibited activities, including but not limited to:

– Violating any laws or regulations.
– Infringing upon the intellectual property rights of others.
– Posting false, misleading, or defamatory content.
– Engaging in fraud, harassment, or abusive behavior.
– Interfering with the operation of the Platform.
– Impersonating another person or entity.

**7. Termination**

Techer reserves the right to suspend or terminate your access to the Platform at any time for any reason, including but not limited to violation of these Terms.

**8. Disclaimer of Warranties**

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TECHER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

**9. Limitation of Liability**

TECHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

**10. Governing Law**

These Terms are governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
